Terms of Service

Please review these Terms carefully before using OpenQCore products, services, and platform infrastructure.

1. Introduction

These Terms of Service govern your access to and use of OpenQCore services, products, websites, APIs, and related infrastructure.

By accessing or using OpenQCore, you agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree, you must discontinue use of the Services.

2. Who We Are

OpenQCore refers to Open QCore Shpk, a limited liability company (Shoqëri me Përgjegjësi të Kufizuar) registered in the Republic of Albania under NUIS M61830003L, with its registered office at Coolab Tirana, Rr. e Dibrës, Ndërtesa nr. II, nr. 225, Tiranë 1007, Albania.

References to "OpenQCore," "we," "our," or "us" in these Terms refer to Open QCore Shpk as the contracting entity providing the platform, products, and services described herein.

3. Eligibility

You must have the legal capacity to enter into a binding agreement to use the Services.

If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Account Registration

You may need an account to access certain services. You are responsible for:

  • Maintaining the confidentiality of login credentials
  • Restricting unauthorized access to your account
  • All activities occurring under your account
  • Promptly notifying us of suspected compromise

We may suspend or terminate accounts that violate these Terms or present security, legal, or operational risk.

5. Acceptable Use

You agree to use OpenQCore responsibly and in accordance with:

  • Applicable laws and regulations
  • Ethical and professional standards
  • Your contractual obligations
  • These Terms and related policies

You are responsible for ensuring your use complies with applicable legal and contractual requirements.

6. Prohibited Activities

You must not use the Services to:

  • Engage in unlawful, harmful, abusive, or fraudulent conduct
  • Attempt unauthorized access to systems, accounts, or data
  • Bypass platform controls, safeguards, or restrictions
  • Reverse engineer restricted components where prohibited
  • Upload or distribute malware or malicious code
  • Interfere with service integrity, availability, or security
  • Misrepresent identity, authority, or affiliations
  • Infringe intellectual property or proprietary rights
  • Use Services in violation of export, sanctions, or other laws

7. Customer Content

You retain rights to content, prompts, data, and materials you submit (“Customer Content”), subject to rights required to operate the Services.

You represent that you have all rights and permissions necessary to provide Customer Content.

You are solely responsible for legality, accuracy, and appropriateness of Customer Content and downstream use.

We may process Customer Content to provide, secure, maintain, and improve Services, consistent with applicable policies.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party must protect confidential information with reasonable safeguards and use it only for permitted purposes.

Confidentiality obligations do not apply to information that is:

  • Publicly available without breach
  • Lawfully received from a third party
  • Independently developed without use of confidential information
  • Required to be disclosed by law (with notice where permitted)

9. AI Services

AI-generated outputs may be probabilistic and can contain inaccuracies, omissions, or outdated information.

You acknowledge and agree that outputs:

  • May include factual inaccuracies
  • May not be unique to your prompts
  • May vary based on model and configuration updates
  • Do not constitute professional advice

You are responsible for validating outputs before relying on them in production, legal, financial, medical, or other high-impact contexts.

AI outputs should not be treated as guaranteed factual, legal, medical, or professional conclusions.

10. Customer Responsibility

You are responsible for your configuration choices, implementation decisions, user access governance, and operational safeguards.

You must implement appropriate review, validation, and control mechanisms when using OpenQCore in live or regulated environments.

You are solely responsible for decisions, actions, and outcomes resulting from your use of the Services.

11. Intellectual Property

OpenQCore and its licensors retain all rights, title, and interest in the Services, including software, systems, models, designs, and related intellectual property.

Except as expressly permitted, you must not:

  • Copy proprietary platform components
  • Modify or create unauthorized derivative works
  • Redistribute restricted assets or code
  • Resell or sublicense Services without authorization
  • Reverse engineer protected components where prohibited
  • Extract model internals or replicate protected capabilities

12. Privacy

Our data handling practices are described in the Privacy Policy, which is incorporated by reference into these Terms.

By using the Services, you acknowledge and agree to applicable data processing and privacy practices.

13. Security

We maintain technical and organizational measures to protect platform integrity and data security, including:

  • Access control and identity governance
  • Authentication and administrative safeguards
  • Infrastructure hardening and segmentation
  • Monitoring and threat detection
  • Data protection practices
  • Resilience, backup, and recovery workflows
  • Incident response procedures

No service can be guaranteed completely secure. You are responsible for maintaining your own security posture and controls.

14. Third-Party Services

Certain features may rely on third-party services, providers, tools, or integrations.

  • Availability of third-party systems
  • Performance or latency characteristics
  • Security controls outside OpenQCore boundary
  • Third-party policy or pricing changes
  • Acts or omissions by third-party providers

Your use of third-party services is governed by their terms and policies.

15. Payments

Paid services are billed according to your selected plan, usage metrics, and applicable commercial terms.

Fees are non-refundable unless otherwise stated in a signed agreement or required by law.

You are responsible for taxes, duties, and charges associated with your use of paid services.

16. Availability

We aim to provide reliable service availability, but interruptions may occur due to:

  • Scheduled maintenance
  • Security events
  • Infrastructure failures
  • Network and connectivity issues
  • Third-party provider incidents
  • Force majeure events

We may modify, suspend, or discontinue features as part of operational, security, or product evolution.

17. Termination

We may suspend or terminate access immediately where necessary, including for:

  • Material violations of these Terms
  • Fraudulent or abusive activity
  • Legal or regulatory requirements
  • Security or integrity risk
  • Operational risk to platform or users
  • Non-payment of applicable fees

You may stop using the Services at any time.

Upon termination, rights granted under these Terms end, and certain obligations survive as required by law or their nature.

18. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENQCORE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY.

20. No Professional Advice

The Services and outputs do not constitute legal, financial, medical, tax, compliance, or other regulated professional advice.

You must obtain independent professional review before acting on any content or output in high-impact contexts.

OpenQCore is not responsible for decisions made without appropriate professional validation.

Important

Always consult qualified professionals for legal, medical, financial, compliance, or safety-critical matters.

21. Changes to Terms

We may update these Terms from time to time. Updates become effective as indicated by the published effective date.

Your continued use after updates means you accept the revised Terms.

22. Governing Law

These Terms of Service, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by and construed in accordance with the laws of the Republic of Albania, without regard to its conflict of law provisions. Where applicable, and solely with respect to users located in the European Union, we also comply with the requirements of the EU General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679).

Any dispute arising from these Terms that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the competent courts of Tirana, Albania.
